Neodis Ltd also referred to as “We” or “Neodis” is the operator of the website located at www.neodis.mu (the “Website”). This Agreement governs your use of the Website and your purchase of any products from Neodis (the “Products”).

The Website and Products are offered subject to your acceptance of these Terms and Conditions (“Terms” or “Agreement”). These Terms constitute a legally binding agreement between you and Neodis, and you should read them carefully. By agreeing to these Terms, you also agree to the Neodis Privacy Policy, Cookies and Shipping Policy, each of which is expressly incorporated by reference herein.

User Obligations

Neodis reserves the right, in its sole discretion, to terminate your access to the Website for any or no reason. If you register for an account on the Website, you may be required to designate an email address and password, and there may be additional requirements as designated by Neodis from time to time. You agree to assume all responsibility concerning your use of the Website, including all activity occurring through your password (and related account access). You shall immediately notify Neodis if you suspect or become aware of any loss, theft, or unauthorized use of your password or account.

Purchases through the Website

All purchases made through the Website are subject to our acceptance. This means that we may refuse to accept or may cancel any transaction, at our sole discretion, and without paying any liability to you or any third party. The Website does not permit orders from dealers, wholesalers, or other customers who intend to resell items offered on the Website. Neodis expressly conditions its acceptance of your order on your agreement to these Terms, and to all additional terms and conditions that are provided to you on the Website that govern your purchase of certain Products. By ordering Products through the Website, you agree to provide true, accurate, current, and complete information. Neodis reserves the right without prior notice to discontinue or change specifications and prices on products offered on and outside of the site without informing/incurring any obligation to you. Prices and availability are subject to change without prior notice, and Neodis reserves the right to revoke any offer to correct any errors, inaccuracies, or omissions.

Website Ownership and Content

The Website contains materials including, but not limited to, text, images, designs, photographs, videos, audio clips, graphics, button icons, pictures, advertising copy, URLs, technology, software, and the overall arrangement or “look and feel” of such materials including copyrightable material, as well as trademarks, logos, and service marks that belong to either Neodis, its licensors, licensees or other third parties (collectively called the “Content”). The Website and the Content are owned, licensed, or controlled by Neodis, its licensors, and certain other third parties, and all rights, titles, interest in and to the Content and the Website are the property of Neodis, its licensors, or certain other third parties and are protected by Mauritius laws and international copyright, trademark, trade dress, patent or other intellectual property rights and laws to the fullest extent possible. By using the Website, you will not obtain any ownership or intellectual property or other interest in any item or content on the Website. Subject to your agreement and compliance with this Agreement, Neodis grants you a limited, non-exclusive, non-transferable, non-assignable, revocable license to access, display, view, and use the Content on the Website for your own personal, non-commercial use only. You agree that Neodis may immediately and, without notice to you, suspend or terminate the availability of the Website, its Content, or the Products without paying any liability to you or any third party.

User-Generated Content

By submitting or posting any materials or content on the Site or Social Media (“User-Generated Content”), you grant to Neodis a perpetual, irrevocable, royalty-free, worldwide, sub-licensable and transferable license to copy, publish, translate, modify, reformat, create derivative works from, distribute, reproduce, and sublicense such materials or any parts of such materials. You hereby represent, warrant and covenant that any User-Generated Content you provide does not violate any law or the rights of any third party, and you have full right to grant Neodis the license specified above. Neodis ltd shall be entitled to use any User-Generated Content without incurring obligations of confidentiality, attribution or compensation to you.

LIMITATION OF LIABILITY; DISCLAIMER OF WARRANTIES. EXCEPT WHERE OTHERWISE INAPPLICABLE OR PROHIBITED BY LAW, THE WEBSITE, AND ALL CONTENT, PRODUCTS, AND OTHER INFORMATION ON OR ACCESSIBLE FROM OR THROUGH THIS WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SECURITY OR ACCURACY. IN NO EVENT SHALL NEODIS LTD OR ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, INDEPENDENT CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, UNDER ANY CAUSE OF ACTION WHATSOEVER INCLUDING, BUT NOT LIMITED TO, CONTRACT, TORT, STRICT LIABILITY, WARRANTY, OR OTHERWISE, FOR ANY CLAIM, CAUSE OF ACTION, FEE, EXPENSE, COST, OR LOSS ARISING FROM OR RELATED TO THIS AGREEMENT, THE PRIVACY POLICY, THE RETURN POLICY, THE SHIPPING POLICY, THE PRODUCTS, OR YOUR USE OF THE WEBSITE OR ANY PRODUCTS.

 

Disputes

Any dispute relating in any way to your visit to, or use of, the Website, the Products, or any purchase or otherwise related to this Agreement (“Disputes”) shall be governed exclusively by the laws of the Republic of Mauritius. If a dispute arises under this Agreement, you agree to contact us at shop@neodis.mu (email). Before formally submitting a Dispute to arbitration, you and Neodis may choose to informally resolve the dispute.  Any dispute, controversy, or claim relating to or contesting the validity of Neodis’s intellectual property rights and proprietary rights, including without limitation, patents, trademarks, service marks, copyrights, or trade secrets; (ii) action by a party for temporary, preliminary, or permanent injunctive relief, whether prohibitive or mandatory or other provisional relief; (iii) any legal action by Neodis against a non-consumer; or (iv) interactions with governmental and regulatory authorities. You expressly agree to refrain from bringing or joining any claims in any representative, including but not limited to bringing or joining any claims in any class action or any class-wide arbitration.

The arbitrator’s award will be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement may be joined to an arbitration involving any other party subject to this Agreement, whether through a class action, private attorney general proceeding, class arbitration proceedings or otherwise.

YOU UNDERSTAND THAT YOU WOULD HAVE HAD A RIGHT TO LITIGATE IN A COURT, TO HAVE A JUDGE OR JURY DECIDE YOUR CASE AND TO BE PARTY TO A CLASS OR REPRESENTATIVE ACTION. HOWEVER, YOU UNDERSTAND AND AGREE TO HAVE ANY CLAIMS DECIDED INDIVIDUALLY AND ONLY THROUGH ARBITRATION.

 

You shall have thirty (30) days from the date that you purchase a product or provide information to the website to opt out of this arbitration agreement. To opt-out of arbitration, you must contact us in writing at shop@neodis.mu (email). If more than thirty (30) days have passed from the date that you purchase a product, you are not eligible to opt-out of arbitration concerning claims relating to that product. If more than thirty (30) days have passed from the date that you provide information to the website, you are not eligible to opt-out of arbitration concerning claims relating to the website.

Links to Third-Party Websites

The Website may include links to third-party websites, such as links from advertisers, sponsors, content partners, and third parties. The inclusion of any link on the Website does not imply our endorsement of it, and Neodis expressly disclaims any responsibility for the content, the materials, the accuracy of the information, or the quality of the products or services provided by, available through, or advertised on these third-party websites.

Cancellation

​

Once payment is made, you have 12 hours to cancel an order. If the order has been cancelled within 12 hours from confirmation, Neodis Ltd shall process a refund of the order. The waiting time of 12 hours is our guarantee to be able to deliver your order on time. If the order is cancelled after 12 hours, Neodis Ltd will refuse cancellation and refund. This is applicable for in-stock & pre-order products. This measure has been implemented to avoid operational disturbance and ensure all orders are shipped on schedule. Please contact our customer care service at shop@neodis.mu for cancelling an order.

This is not applicable for Express Delivery Services, cancellation and refund are not applicable for this service.

​

Returning of products.

 

We do accept returns under certain circumstances such as: damaged products, missing parts or any other malfunctioning issues you may have with the products. You will have to contact Neodis customer care services on shop@neodis.com within 24 hours of receiving the product. Neodis Ltd will ensure the replacement of the product or shall give you a credit to spend in the shop if ever the product is unavailable for exchange. No refund shall be made. When purchasing a product in stock, you agree to receive the product as specified on the ''product page''.  We ensure to give the maximum details to our customers prior to purchase. At Neodis ltd, we proceed to a quality check prior to preparing the shipping package as per our strict quality control policy.

Pre-Order Services.

​

Neodis Ltd introduced on April 2023 a new service called ''Pre-order'' this service is available for pre-ordering products on demand. Neodis Ltd reserves the right to charge to the client additional import cost if required to process their orders. This is applicable to Pre-order items only as it's impacted by foreign exchange rates. Pre-Order items can't be cancelled, exchanged, returned or refunded. Neodis Ltd shall propose an alternative at their discretion without any obligation.

Privacy

You understand, acknowledge, and agree that the operation of certain portions of this Website or the receipt of certain information, such as registering or creating an account on this Website, requires the submission, use, and dissemination of certain personally identifiable information. Please note that by providing your mobile phone number to the Website, you are providing Neodis Ltd your electronic signature expressly consenting to be contacted by telephone (including by automated dialling systems, prerecorded messages, WhatsApp, SMS and MMS) at the number provided, even if the number you provide is on a corporate, state, or national Do Not Call list. You understand that your consent is not required to make a purchase. Electronic Signatures and Agreements

You acknowledge and agree that by clicking on the button labelled “SUBMIT”, “DOWNLOAD”, “PLACE MY ORDER”, “I ACCEPT”, ANY LINK THROUGH WHICH YOU SUBMIT BILLING OR SHIPPING INFORMATION, or such similar links as may be designated by Neodis to accept these terms and conditions, you are submitting a legally binding electronic signature and entering into a legally binding contract. You acknowledge that your electronic submissions constitute your agreement and intent to be bound by this Agreement. According to any applicable statutes, regulations, rules, ordinances or other laws, including without limitation the ICTA Electronic Transaction Act 2000 (Act 23/2000) governed by the Law of the Republic of Mauritius, YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS AND OTHER RECORDS AND ELECTRONIC DELIVERY OF NOTICES, POLICIES AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED THROUGH THE SITE OR PRODUCTS OFFERED BY NEODIS LTD. Further, you waive any rights or requirements under any statutes, regulations, rules, ordinances or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by other than electronic means.

Sales Tax

​

Neodis honours the law of the Republic of Mauritius concerning sales and tax uses. All prices displayed are inclusive of taxes. The Mauritian Taxes applicable are calculated on 15% of the total value of each product AS PER THE LAW OBLIGATIONS. Neodis Ltd will process your shipping (depending on your given address) some taxes shall be applied in your destination country at the time of the collection. These charges shall be borne by you depending on the law enforced in your country.

Prices

​

All prices displayed on this website are in Mauritian Rupees (Rs/MUR). Neodis Ltd reserves the right to increase/decrease a product price at any time for whichever reason without prior notice.

Miscellaneous

​

This Agreement constitutes the entire agreement between you and Neodis ltd and supersedes any prior version of this Agreement. If any provision of this Agreement is found by the arbitrator or (if proper) a court of competent jurisdiction to be invalid, the remaining provisions shall not be affected thereby and shall continue in full force and effect, and such provision may be modified or severed from this Agreement to the extent necessary to make such provision enforceable and consistent with the remainder of this Agreement.

Social Media Contest & Lucky Draw

​

When you participate in the above-mentioned you automatically agree to the following:

  • Neodis may use your data to contact you through Messenger, SMS, MMS, WhatsApp, Call, Email and other means of communication (please refer to our Privacy Policy for more details) for all subsidies of the group.

  • Neodis may use your photos and personal information for publication, advertising and other means of marketing through different channels of communication.

  • Prizes are non-transferable or exchangeable. 

  • All prizes will be available for a period of 3 months to be redeemed and no extensions will be given.

  • Follow the rules and regulations set up to entitle an entry into the game.

  • Neodis Ltd reserves the right to cancel any contest or lucky draw at any time without notification. Neodis won't be held responsible for a compensation of liabilities of any loss or damages that may arise.

  • Neodis may proceed to the winner announcement on social media pages and the winner will have 1 week to claim the prize. 

  • If the prize is not claimed, Neodis reserves the right to void the participation of the winner and re-integrate the prize into another contest.

  • Neodis may tag you in posts, videos, podcasts or any means of social media tools used for promotion.

  • Vouchers or prizes are non-redeemable into cash and shall be used on www.neodis.mu

 

​Loyalty Program

​

Neodis Loyalty Program has been introduced on the website by Neodis Ltd for members only. This loyalty program will give customers the chance to accumulate points which may be redeemable with discounted vouchers. Neodis Ltd reserves the right to modify the terms and conditions as mentioned hereafter without prior notice for the points accumulated or vouchers.

Neodis ltd reserves the right to remove points from your member account if the same has been over-credited or for any other valid reason. The management reserves the right to also credit points on your account or cancel your points for whichever reason without prior notice and without paying any compensation.

Promotions, Events and Sales

Neodis Ltd shall organise special promotions referred to as ''events'', ''promotions'' or ''sales'' online and offline. 

Neodis reserves the rights to publish/share the above-mentioned events on the website www.neodis.mu and on any other social media platform/Marketing channels managed by Neodis Ltd.

By participating in any events hosted by Neodis. Ltd you agree to give your permission to publish your photos on our marketing channels for promotional purposes.

Promotions and sales are a limited-time offer and shall be cancelled at any time without prior notice by Neodis ltd.

Promotions and sales are non-redeemable in cash or refundable.

Promotions and sales aren't applied to shipping/home delivery fees.

Neodis ltd has full rights to cancel any coupon code applied off-promotion period that has been applied by a client as an act of negligence or on purpose. Neodis Ltd shall not be liable for any reimbursement or any claim.

Neodis Ltd reserves the right to cancel any coupon code without prior notice.

Items on promotions/sales are non-refundable, exchangeable or returnable.

Neodis Ltd is an online retail hardware store established in June 2021 in Mauritius. We design, source, resell, and market materials/tools for furniture, buildings, and construction and provide services for other companies. Our targets:

  • Building/construction companies or people having building projects looking for an accompaniment to help them build their projects.

  • Individuals and corporate looking for hardware.

 

Neodis Ltd situated at 37, SME Park, La Tour Koenig (collectively referred to as “Neodis”, “we”, “us” and “our” in this Privacy Policy) is the controller and responsible for your personal data collected through the www.neodis.mu website (the “Website”) and Neodis app (the “app”).

  • Technical Data includes information such as: details of the device(s) you use to access our services, your internet protocol (IP) address, login data, your username and password, browser type and version, time zone setting and location, browser plug-in types and versions, operating system and platform.

  • Profile Data includes information such as: purchases or orders made by you, product and style interests, preferences, feedback, and survey responses.

  • Usage Data includes information such as: how and when you use our website/app, how you moved around it, what you searched for; website/app performance statistics, traffic, location, blogs and other communication data; loyalty programme activities; and details of any other Neodis products and services used by you.

  • Marketing and Communications Data includes information such as: your preferences in receiving marketing from us and our third parties and your communication preferences.

  • Technical Data from affiliate networks through whom you have accessed our website;

  • Identity and Contact Data from social media platforms when you log in to our website using such social media platforms;

  • Contact, Financial and Transaction Data from providers of technical, payment and delivery services.

  • To process and deliver your e-gift card orders including taking payment and communicating with you and/or the nominated recipient if delivered to another person.

How long do we keep your data?

Marketing preferences, adverts and cookies

Marketing - your preferences.

We may send you marketing communications and promotional offers:

  • if you have opened an account with us or purchased goods from us, or registered for a promotion or event, and you have not opted out of receiving that marketing (in accordance with your preferences, as explained below);

  • by email if you have signed up for email newsletters;

  • if you have provided us with your details when you entered a competition and you have consented to receive such marketing (in accordance with your preferences, as explained below).

 

We may use your Identity, Contact, Technical, Transactional, Usage, Profile Data and Marketing and Communications Data to form a view on what we think you may like, or what may be of interest to you, and to send you details of products and offers which may be relevant for you.

We will ask you for your preferences in relation to receiving marketing communications by email, post, SMS and other communication channels.

From time to time we may also include with your order, inserts advertising goods, services or offers from other third-party companies that you may be interested in.

  • account holders may withdraw their consent by simply logging in to My Account and editing your ‘Contact Preferences’.

 

We will process all opt-out requests as soon as possible, but please note that due to the nature of our IT systems and servers it may take a few days for any opt-out request to be implemented.

Like many companies, we may target Neodis banners and ads to you when you use other websites and apps, based on your Contact, Technical, Usage and Profile Data. We do this using a variety of digital marketing networks and ad exchanges, and a range of advertising technologies such as web beacons, pixels, ad tags, cookies, and mobile identifiers, as well as specific services offered by some sites and social networks, such as Facebook’s Custom

 

 

Audience Service and Google ads.

Our use of analytics and targeted advertising tools. We use a range of analytics and targeted advertising tools to display relevant website content on our website and online advertisements on other websites and apps (as described above) to you, deliver relevant content to you in marketing communications (where applicable), and to measure the effectiveness of the advertising provided. For example, we use tools such as Google Analytics to analyse Google's interest-based advertising data and/or third-party audience data (such as age, marital status, life event, gender and interests) to target and improve our marketing campaigns, marketing strategies and website content.

 

We may also use tools provided by other third parties, such as Facebook to perform similar tasks, using your Contact, Technical, Usage and

 

Profile Data.

In order to opt-out of targeted advertising you need to disable your ‘cookies’ in your browser settings (see Cookie Policy for details) or opt-out of the relevant third-party Ad Settings. For example, you can opt-out of the Google Display Advertising Features. As an added privacy measure, you can also use. The Digital Advertising Alliance (which includes companies such as Google, Responsys and Facebook) provides a tool called WebChoices that can perform a quick scan of your computer or mobile devices, find out which participating companies have enabled customised ads for your browser, and adjust your browser preferences accordingly.

How do we share your data?

  • third-party service providers that we engage to deliver and process your e-gift card orders and e-gift card payment.

  • third-party service providers that we engage to deliver goods you have ordered;

  • third-party service providers that we engage to send emails and postal mail on our behalf including in relation to incomplete orders or abandoned carts, or marketing communications, to provide data cleansing services and to provide marketing and advertising services;

  • analytics and search engine providers that assist us in the improvement and optimisation of our website;

  • affiliate networks through whom you have accessed our website;

Please note that the other Neodis Ltd and these third parties may retain a record of the information that we provide to them for this purpose;

Request access to your personal data

You have the right to obtain a copy of the personal data we hold about you and certain information relating to our processing of your personal data.

Request correction of your personal data

​

You are entitled to have your personal data corrected if it is inaccurate or incomplete. You can update your personal data at any time by logging into your account and updating your details directly, or by emailing us at shop@neodis.mu

Request for deletion of personal data

​

This enables you to request that Neodis delete your personal data, where there is no good reason for us to continue to process it. Note, however, that we may not always be able to comply with your request of erasure for specific legal reasons which will be notified to you, if applicable, at the time of your request.

Request restriction of processing of your personal data

​

You have a right to ask Neodis to suspend the processing of your personal data in certain scenarios, for example, if you want us to establish the accuracy of the data, or you have objected to our use of your data but we need to verify whether we have to overwrite legitimate grounds to use it. Where the processing is restricted, we are allowed to retain sufficient information about you to ensure that the restriction is respected in future.

Request the transfer of your personal data

You have the right to obtain a digital copy of your personal data or request the transfer of your personal data to another company. Please note though that this right only applies to automated data which you initially provided consent for us to use or where we used the data to perform a contract with you.

Object to processing of your personal data

You have the right to object to the processing of your personal data where we believe we have a legitimate interest in processing it (as explained above). You also have the right to object to our processing of your personal data for direct marketing purposes. In some cases, we may demonstrate that we have compelling legitimate grounds to process your data which override your rights and freedoms.

 

 

Request human intervention for automated decision-making and profiling

You have the right to request human intervention when we are carrying out automated decision-making when processing your personal data. This form of processing is permitted where it is necessary as part of our contract with you, providing that appropriate safeguards are in place or your explicit consent has been obtained.

We will try to respond to all legitimate requests within one month. Occasionally, it may take us longer than a month if your request is particularly complex or you have made a number of requests. In this case, we will notify you and keep you updated. We may need to request specific information from you to help us confirm your identity and ensure your right to exercise any of the above rights. This is a security measure to ensure that personal data is not disclosed to any person who has no right to receive it.

Right to lodge a complaint

We would, however, appreciate the chance to deal with your concerns before you approach the ICTA, so please do contact us in the first instance.
